inspite of having the same engine (m5 with two turbos) they have the same top speed just (like many 250kph machines) I guess that both can get higher top speed (different) if they tune up the transmission because it is almost the same powertrain (the gearbox should be the same).

All german cars, except Porsche, still keep themself to the so called gentleman agreement. When cars started getting faster and faster, car manufacturers from Germany agreed upon a top speed of 250km/h or 155mph .It is just an electronic limit, so it is not a gearbox problem.
In the past Mercedes and BMW had the option for only the top version from each model, like the AMG black editions, and M3 CSL to change the software that limits the car at 250, to 280km/h or 172 mph.
Where at Mercedes you had to go to a training day before they would change it, if I remember correct.

In other words, they just don't trust everybody is capable of handling over 300km/h.

And I see nothing wrong in that. We reached a point in time where even the basic 5 series can get up to 235km/h or 145mph. With a 2.0 litre 4 cilinder engine. About 15 years ago you needed at least 2.8 or a 3.0 litre to get even close to performance of the same level.
Back then, people buying the bigger engine, choose to have more performance, but the basic car buyer went home with a nice 2 litre, with 150hp and bearly capable reaching 200km/h or 122mph....

I don't agree complete with their agreement....If I buy something, it belongs to me. I can do what ever I want with my property. So if I buy a BMW, pay for it and then order the dealer to remove the speedlimit, because I want to use all the potential of the car, that should be my decision.
As long as the car is not redlining is it's highest gear, it should not harm the car.
