Idea is that GM wants to streamline its operations by getting rid of platforms that are sold only in Europe (like all those Opel hatchbacks etc) and make cars with higher profit margin (US market stuff).
For Peugeot the benefit would be much higher manufacturing capacity - Opel factories in Germany. And bigger customer base.
